Perfect the capital system of company, defending the security of transactions. To defend the security of transactions with foreign partners, the new company law should absorb in the administrative regulations, compulsory regulations as well as management rules, with the core as the completion of capital system of company. The property of shareholders is not belonging to the assets of company and shareholders are not answering for the creditors of the company in principle. The credit and the mortgage or the surety of creditors are related to the assets of company. To lay a solid foundation for the company’s development as well keeping the assets of the bottom limit for potential creditors, the traditional company law mandates the principle of determination of capital, maintenance of capital and unchanging of capital.………………
